Notarial Company Annual Report Submission to AHU System

Since June 1, 2026, the Directorate General of Legal Administration of Indonesia (AHU) has started accepting annual reports through the SABH system, marking the practical commencement of the annual reporting regime introduced pursuant to Minister of Justice Regulation No. 49 of 2025.

Annual reports can no longer be treated as internal documents; they are now mandatory filings to be submitted to the AHU. Any company planning a change of director or commissioner, a transfer of shares, or any other registration must ensure in advance that its annual reports are prepared and ready for submission. Exemptions do not apply to companies with foreign investment (PMA), so subsidiaries owned by foreign parties and registered in Indonesia are fully subject to the law.

Important Note Regarding the Annual Report

The Company Annual Report must be prepared based on the company’s actual data and information. Therefore, the client is required to provide all data, information, and reports that must be submitted and reported to the Ministry. 

The client may fill in the Annual Report templates that we provide. The Annual Reports will be used as the basis for the Annual General Meeting of Shareholders / RUPS Tahunan and for the preparation of the relevant Notarial Deed. Therefore, each report must be reviewed and signed by the company’s Director and Commissioner.

The Annual Report and all related documents will be prepared based on the data and information provided by the client. We are not responsible for any incorrect, incomplete, or inaccurate information provided by the client. The Annual Report must be signed by the company’s Director and Commissioner as confirmation that the information stated in the report is correct and approved by the company.

Process: 14-20 business days after all required documents and reports are complete

Payment term: full payment in advance.

This package includes the preparation of the Annual General Meeting of Shareholders (AGMS) / RUPS Tahunan for Annual Report submission to the Ministry through a Notary via the AHU/SABH system.

Additional Service for Preparing the Annual Report

If the clients cannot prepare or complete the reports based on the templates by themselves, we can assist in preparing them based on the data provided by the client.

Please note that this fee is separate from the notarial deed package price.  The client remains responsible for the correctness and completeness of the data and information provided.

Requirements

The client must provide the following reports and information:
  1. Annual Company Financial Report
  2. Annual Company Activity Report
  3. Annual CSR / TJSL Report, if applicable
  4. Annual Board of Commissioners’ Supervisory Report
  5. Annual Report on any company issues, disputes, or other important matters
  6. Details of Directors and Commissioners, including remuneration
The Annual Report must be approved through the Annual General Meeting of Shareholders (AGMS) / RUPS Tahunan and and have a AGMS Deed drawn up by the notary before submission to the AHU/SABH system.

Process

  1. Client provides the required data, information, and reports by filling in the Annual Report templates provided by us
  2. Review of the Annual Report documents
  3. Signing of the relevant reports by the Director and Commissioner
  4. Conducting AGMS / RUPS Tahunan,
  5. Preparing the Notaial AGMS Deed,
  6. Preparing the Company Amendment Deed, if included
  7. Submitting the deed to the Ministry no later than 30 days after signing

Regarding unblocking AHU

 There are several common reasons why a company’s AHU/SABH access may be blocked:
  1.  The company has not submitted its Beneficial Ownership (BO) report. A Beneficial Owner is the individual who ultimately owns, controls, or benefits from the company.
  2.  The company has not made any deed amendments for a long period of time.
  3.  Failure to submit the Annual Corporate Report. Under the latest regulation issued by the Ministry of Law and Human Rights, all companies, whether private or public, are required to submit an annual corporate report through a notary. The notary will then file the report with the government through the SABH (Legal Entity Administration System).
This annual report must be submitted no later than six months after the end of the company’s financial year.
Since this regulation was only introduced in June 2026, the government has granted a transitional period, allowing companies to submit their annual reports until the end of October 2026.
If a company fails to submit the report by the end of October 2026, it may be subject to an administrative sanction in the form of SABH account blocking. When the account is blocked, the company will not be able to process deed amendments or carry out any transactions through the SABH system.
However, the company may apply to have the account unblocked by submitting an official request for unblocking.
